1. Acceptance of Terms

By accessing or using LinqProtocol's decentralized compute platform ("Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and LinqProtocol.

2. Description of Service

LinqProtocol provides a decentralized infrastructure platform that enables users to deploy, manage, and scale computational workloads across a distributed network of compute providers. The Platform facilitates the connection between users requiring compute resources and providers offering such resources.

3. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

4. User Accounts

To access certain features of the Platform, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access or use of your account
  • Accept responsibility for all activities that occur under your account

5. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Deploy or distribute malware, viruses, or other harmful code
  • Conduct illegal activities including but not limited to fraud, money laundering, or terrorism financing
  • Infringe upon intellectual property rights of others
  • Distribute content that is defamatory, obscene, or promotes violence
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Interfere with or disrupt the Platform's infrastructure or services
  • Engage in cryptomining without explicit authorization
  • Use the Platform for any purpose that could harm minors

6. Payment and Fees

Use of certain Platform features may require payment of fees. You agree to pay all applicable fees as described on the Platform. Fees are non-refundable except as expressly stated in these Terms or required by law.

The Platform may utilize blockchain-based payment mechanisms. You are responsible for ensuring you have sufficient funds and for any transaction fees associated with blockchain transactions.

7. Intellectual Property

The Platform, including its design, features, and content, is owned by LinqProtocol and protected by intellectual property laws. You retain ownership of any content you deploy on the Platform. By using the Platform, you grant LinqProtocol a limited license to host and process your content solely for the purpose of providing the services.

8. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of information as described in the Privacy Policy.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LINQPROTOCOL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINQPROTOCOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless LinqProtocol and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LinqProtocol is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration, except where prohibited by law.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any other policies referenced herein, constitute the entire agreement between you and LinqProtocol regarding your use of the Platform and supersede all prior agreements and understandings.
